Conga to acquire PROS B2B software business

Conga plans to acquire the B2B software business of PROS Holdings Inc. from private equity firm Thoma Bravo, a move that underscores growing consolidation in the tools that power digital commerce.

The companies expect to close the deal in the first quarter of 2026. It would bring together two established providers of revenue-management software at a time when manufacturers and distributors are under pressure to simplify complex online transactions.

B2B ecommerce has outgrown the simple online catalog model. Companies now need to manage negotiated pricing, configurable products, rebates and contract terms in real time across multiple sales channels. PROS has built a niche serving that demand. Its cloud platform uses artificial intelligence (AI) to optimize pricing, automate quotes and forecast demand. The software integrates with systems like SAP and feeds live pricing and contract data into ecommerce storefronts and partner portals.

For Conga, which already offers configure-price-quote (CPQ), contract lifecycle management (CLM), and document automation software, the deal would add PROS’s pricing science and analytics to its platform. Together, the companies say they can close long-standing gaps between quoting, contracting, and billing — areas that often slow or even derail digital orders.

PROS counts large manufacturers, distributors, and industrial suppliers among its customers, many of them multibillion-dollar enterprises running SAP back ends. Case studies include Germany’s HAWE Hydraulik, which adopted PROS to cut manual quoting and speed order turnaround. Market data from Enlyft and other trackers show PROS’s client base leans heavily toward global companies managing complex, multi-channel commerce.

Dave Osborne, Conga’s chief executive, will lead the combined business. He said the deal will give customers “visibility and control over their entire revenue process” as AI becomes more central to sales. Thoma Bravo managing partner Holden Spaht called the acquisition a way to “unify critical revenue functions” as companies work to protect margins and automate sales.

Conga reports its platform supports more than 10,000 customers worldwide, generating 46 million quotes and 7 million contracts annually. Adding PROS would expand that reach and create one of the largest focused players in revenue-management software for B2B commerce.

They did not disclose financial terms.
